By using our services, you confirm that:

  • You will provide accurate and complete information
  • You will comply with applicable laws and regulations

4. Client Responsibilities

Clients agree to:

  • Provide all required content, materials, and information in a timely manner
  • Ensure that all submitted content does not infringe on third-party rights
  • Review and approve deliverables within agreed timelines
  • Communicate clearly and promptly during the project

Delays in client responses may affect delivery timelines.

5. Pricing and Payments

  • All pricing is communicated via our website, proposals, or written agreements
  • A deposit (typically 50%) is required before project commencement
  • The remaining balance is due upon completion or as agreed
  • Additional work beyond the agreed scope will incur extra charges

Failure to make payments may result in suspension or termination of services.

6. Revisions and Scope Changes

  • Each service package includes a defined number of revisions
  • Additional revisions or changes outside the original scope may be billed separately
  • Any scope changes must be agreed upon in writing

7. Project Timelines

We aim to deliver projects within agreed timelines. However, timelines may vary depending on:

  • Project complexity
  • Client responsiveness
  • Third-party service dependencies

We are not responsible for delays caused by factors outside our control.

8. Domain and Hosting

  • Clients are responsible for purchasing and renewing domain names and hosting unless otherwise agreed
  • Elara Digital may assist with setup but is not liable for third-party service issues
  • We may recommend trusted providers for domain and hosting services

9. Intellectual Property

  • Upon full payment, ownership of the final deliverables is transferred to the client
  • Elara Digital retains the right to showcase completed work in its portfolio
  • Third-party assets (themes, plugins, stock images) remain subject to their respective licenses

10. Maintenance and Support

  • Support is provided based on the selected package or maintenance plan
  • After the support period ends, additional services may be billed separately
  • We are not responsible for issues caused by unauthorized modifications or third-party changes

11. Acceptable Use

Clients agree not to use our services for:

  • Illegal or fraudulent activities
  • Distribution of harmful or malicious content
  • Violation of intellectual property rights
  • Any activity that may harm our reputation or operations

12. Limitation of Liability

Elara Digital shall not be liable for:

  • Loss of business, revenue, or profits
  • Data loss or security breaches beyond our control
  • Website downtime caused by hosting providers or external services

All services are provided on a best-effort basis.

13. Termination

We reserve the right to suspend or terminate services if:

  • Terms are violated
  • Payments are not made
  • Communication breaks down

In such cases, work completed will be billed accordingly.

14. Refund Policy

  • Deposits are generally non-refundable once work has commenced
  • Refunds (if any) are considered on a case-by-case basis
  • No refunds will be issued for completed work

15. Privacy

Your use of our services is also governed by our Privacy Policy. We are committed to protecting your personal information.

16. Changes to Terms

We may update these Terms at any time. Changes will be posted on this page with the updated effective date.

Continued use of our services constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Kenya.
